These Terms of Service (the "App Terms") govern the installation of and access to the Yesim eSIM Shopify App (the "App") provided by Genesis Group AG, a company incorporated under the laws of Switzerland with registration No. CHE-135.623.633 and registered address at Bahnhofstrasse 4, 6340 Baar, Switzerland ("Yesim").
By installing or using the App, the Shopify merchant installing the App (the "Merchant") agrees to these App Terms.
Use of the App requires the Merchant to maintain an active account (the "Yesim Account") at the platform available at https://core.yesim.biz/ (the "Yesim Platform") and to have accepted the Yesim B2B Terms of Service available at https://core.yesim.biz/legal/b2b-terms-of-service.pdf (the "Yesim Terms").
These App Terms govern the installation and use of the App. The Yesim Terms separately govern the Merchant's Yesim Account, the purchase and resale of eSIM plans and the related Yesim services.
If the Yesim Terms are terminated or expire, the functionality of the App that relies on the Yesim Platform and related Yesim services will no longer be available to the Merchant.
The App enables the Merchant to connect its Shopify store to its Yesim Account in order to:
The availability, characteristics and pricing of eSIM data plans are governed by the Yesim Terms and the information made available through the Yesim Platform.
Yesim may modify, suspend or discontinue the App or any of its functionality where reasonably necessary for technical, security, legal, regulatory or operational reasons, including due to changes to Shopify's platform or requirements.
The Merchant shall:
The Merchant is responsible for all activity performed through the App in connection with its Shopify store and Yesim Account, except to the extent directly caused by Yesim's breach of these App Terms.
The Merchant sells eSIM data plans to its customers independently, in its own name and on its own behalf. The Merchant is solely responsible for its Shopify storefront and its commercial relationship with its customers, including:
Installation or use of the App does not make Yesim the seller or merchant of record in respect of transactions concluded between the Merchant and its customers and does not authorize the Merchant to act as Yesim's agent, representative or distributor.
The Merchant authorizes the App and Yesim to access and process information made available through Shopify to the extent reasonably necessary to provide the App, process and fulfil eligible orders for eSIM data plans and deliver the relevant eSIM activation information. In particular, the Merchant authorizes the use of customer contact information made available through Shopify where necessary to fulfil an order and deliver activation information to the relevant customer.
The Merchant shall ensure that it has provided all notices and obtained all permissions or other authorizations required under applicable law for the collection, use and disclosure of such information through the App.
Processing of personal data in connection with the App shall be subject, as applicable, to the Data Processing Agreement incorporated into the Yesim Terms and the Yesim eSIM Shopify App Privacy Policy available at https://plugin-sp.yesim.biz/privacy. For the avoidance of doubt, personal data processed through the App for the purpose of facilitating the Merchant's use of the Yesim services shall be treated as personal data processed in connection with the Yesim Platform for purposes of the Data Processing Agreement.
The App is provided by Yesim and is not provided, sponsored or warranted by Shopify. Yesim is solely responsible for the App and for providing support relating to its installation and use.
Shopify is not responsible or liable for any fault, defect or failure of the App or for any loss or harm arising from its installation or use. Unless expressly stated otherwise by Shopify, Shopify does not provide support or assistance in relation to the App.
As between Yesim and Shopify, Yesim is solely responsible for any liability arising from the App or Yesim's access to, use, transfer or storage of data made available through Shopify.
The App is provided on an "as is" and "as available" basis and may depend on the availability and proper operation of the Yesim Platform, Yesim APIs, Shopify services and APIs, upstream connectivity providers and other third-party systems. Yesim does not guarantee uninterrupted, error-free or continuous availability of the App.
To the extent permitted by applicable law, Yesim shall not be responsible for any failure, delay, interruption or degradation of the App caused by Shopify, an upstream provider, third-party infrastructure, the Merchant's systems or configuration, or other circumstances outside Yesim's reasonable control.
The App is currently available without a separate installation or subscription fee unless otherwise indicated by Yesim. All purchases of eSIM data plans initiated through the App are purchases under the Merchant's Yesim Account and are charged against the Merchant's balance in accordance with the Yesim Terms.
The App does not automatically process refunds for eSIM data plans. The availability of any refund from Yesim to the Merchant is governed exclusively by the Yesim Terms. The Merchant remains independently responsible for any refund, cancellation or other remedy that it offers or is required to provide to its own customers.
All rights, title and interest in and to the App, including its software, functionality, interfaces, documentation, technology and related intellectual property, belong to Yesim or its licensors.
Subject to these App Terms and the Yesim Terms, Yesim grants the Merchant a limited, non-exclusive, non-transferable and revocable right to access and use the App solely in connection with the Merchant's Shopify store and Yesim Account.
The Merchant shall not copy, modify, reverse engineer, decompile, disassemble, circumvent, interfere with or attempt to obtain unauthorized access to the App or use the App or its interfaces for any purpose not expressly permitted by Yesim.
The Merchant may stop using the App at any time by uninstalling it from its Shopify store. Uninstallation of the App does not by itself terminate the Yesim Terms or the Merchant's Yesim Account.
Yesim may suspend or cease providing all or part of the App's functionality to the Merchant where:
Suspension or discontinuation of any App functionality does not affect any obligations or liabilities accrued under the Yesim Terms.
To the maximum extent permitted by applicable law, Yesim shall not be liable for any loss, damage, cost or claim arising out of or in connection with the installation, use of, or inability to use the App.
This exclusion applies only to the App and does not affect any rights or liabilities relating to the Merchant's Yesim Account, the purchase or resale of eSIM data plans or the related Yesim services, which are governed by the Yesim Terms.
Yesim may amend these App Terms from time to time where reasonably necessary to reflect changes to the App, Shopify requirements, applicable law, security requirements or Yesim's business or operational arrangements. Material changes will be communicated to the Merchant through reasonable means. Continued use of the App after the effective date of an amendment constitutes acceptance of the amended App Terms, to the extent permitted by applicable law.
These App Terms shall be governed by the laws of Switzerland, without regard to its conflict-of-law rules.
Any dispute arising out of or in connection with these App Terms shall first be addressed through good-faith negotiations between the parties.
If the dispute cannot be resolved through negotiations, it shall be finally resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Arbitration Centre in force when the Notice of Arbitration is submitted. The arbitration shall be conducted in English.
Any dispute that is not subject to arbitration shall be submitted to the exclusive jurisdiction of the competent courts of Switzerland.
